Terms & Conditions
Effective Date: April 17, 2026
These Terms & Conditions ("Agreement") govern all services, systems, products, subscriptions, and interactions with AxisTech Group Inc., a company registered in the State of Texas, United States ("Company", "we", "us", "our").
By purchasing, subscribing, signing an agreement, making payment, or using any services, the Client ("Client", "you") agrees to be legally bound by these Terms.
1. Service Structure
AxisTech Group Inc. provides services under two distinct models:
1.1 Business Growth Engine (Tier 1–5)
Bundled service packages including but not limited to:
- Website design & development
- CRM setup and automation
- SEO services
- Social media management
- AI integrations
- Marketing systems
- Bookkeeping and financial tracking
Each package is delivered as a complete business infrastructure system, not as separate services.
1.2 Individual Services
Standalone services including but not limited to:
- Social Media Management
- SEO
- Bookkeeping / Accounting
- Website services
- CRM & automation
Each service is governed separately under these Terms.
2. Onboarding Requirement
No work, system setup, or service delivery will begin until:
- The Client completes the onboarding form
- Required documents and access are provided
- Initial payment is successfully received
Any delay caused by the Client does not affect billing timelines or obligations.
3. Fees, Billing & Payment Authorization
By engaging services, the Client:
- Authorizes AxisTech Group Inc. to charge all applicable fees
- Agrees to recurring billing for subscriptions
- Accepts that all payments are due in advance
Fees include:
- Setup fees (non-refundable)
- Monthly subscription fees
- Hosting / infrastructure fees
- Termination and transition fees
- Additional agreed services
Failure to properly terminate does not stop billing.
4. Business Growth Engine Terms (Tier 1–5)
4.1 Minimum Commitment
All Tier packages require a minimum commitment of three (3) months.
Early cancellation:
- Does not stop billing
- Does not qualify for refund
4.2 Termination Process
After the minimum period:
- Client must submit written notice
- Client must complete the current billing cycle
4.3 Termination & Transition Fee
A mandatory termination fee equal to one (1) month subscription applies.
This fee covers:
- Offboarding
- Data preparation
- System separation
- Asset packaging
- Technical transfer
5. Individual Service Termination
For standalone services:
- Minimum 30-day written notice required
- A $500 USD termination fee applies
This fee applies for:
- Ownership rights
- File access
- Asset transfer
6. Ownership & Intellectual Property
6.1 During Active Service
All systems remain under AxisTech Group Inc. control, including:
- Websites
- CRM systems
- Automations
- Workflows
- Hosting environments
- Internal configurations
Client is granted a limited usage license only.
6.2 Ownership Transfer (Post-Termination)
Ownership is granted ONLY after:
- Full payment of all invoices
- Payment of termination fee
- Completion of billing cycle
6.3 Transferable Assets
May include:
- Website files
- CRM workflows
- Automations
- Branding
- Content
6.4 Non-Transferable Assets
AxisTech Group Inc. retains:
- Internal frameworks
- System architecture
- Templates
- Proprietary methods
7. Termination Implementation
Once termination is approved:
- Transition process begins
- Completion timeline: up to 30 days maximum
Timeline depends on:
- Tier complexity
- Systems involved
- Data volume
Client Cooperation Requirement
Client agrees to:
- Provide timely responses
- Provide required access
- Approve transfer steps
Failure to cooperate:
- Delays transfer
- Does not stop billing
- Does not waive fees
8. Hosting, Domain & Infrastructure
Client may:
Option A – Full Exit
- Systems transferred after full payment
Option B – Continue with AxisTech Group Inc.
- Client subscribes to hosting/infrastructure plan
- Pricing varies based on usage
9. Non-Payment & System Restriction
If payment is missed, AxisTech Group Inc. may:
- Suspend services
- Disable CRM
- Take website offline
- Restrict access
No assets will be transferred until all dues are cleared.
10. No Chargeback Policy
Client agrees NOT to:
- File chargebacks
- Reverse payments
- Dispute via bank without contacting us
If chargeback occurs:
- Immediate suspension of services
- System access revoked
- Legal recovery initiated
- Client liable for: chargeback fees, legal costs, recovery costs
11. Service Nature Disclaimer
Client acknowledges services are:
- Digital
- Time-based
- Resource-based
- Non-reversible once initiated
Therefore:
- Payments are non-refundable
- Work begins immediately after onboarding
12. Third-Party Services
We use CRM platforms, hosting providers, and payment processors.
AxisTech Group Inc. is NOT liable for:
- Downtime
- Platform issues
- Policy changes
13. Performance Disclaimer
We do NOT guarantee:
- Revenue
- Leads
- Rankings
- Business growth
Results depend on:
- Market conditions
- Client cooperation
- Budget
14. Limitation of Liability
To the maximum extent allowed by Texas law, AxisTech Group Inc. is NOT liable for:
- Lost revenue
- Lost profits
- Data loss
- Business interruption
Maximum liability: Limited to last 1 month of fee paid.
15. Indemnification
Client agrees to protect AxisTech Group Inc. from:
- Legal claims
- Business disputes
- Client content issues
- Regulatory violations
16. Force Majeure
AxisTech Group Inc. is not responsible for delays due to:
- Internet failures
- System outages
- Natural disasters
- Government actions
- Third-party failures
17. Dispute Resolution
- First attempt resolution directly
- If unresolved → governed by Texas law
- Jurisdiction: Texas courts
18. Modifications
AxisTech Group Inc. may update Terms at any time. Continued use of services means acceptance of changes.
